--- type: tos_v1 version: v1 effectiveDate: July 13, 2026 entity: LeaseBloc, LLC (Delaware, USA) --- # LeaseBloc Terms of Service These Terms of Service ("Terms") govern your access to and use of LeaseBloc, a closed-beta software service operated by **LeaseBloc, LLC** ("LeaseBloc," "we," "us"). By accepting these Terms in the app, or by accessing or using the service, you agree to them, on behalf of yourself and, if you use LeaseBloc for work, the company you represent. ## 1. Beta access and eligibility LeaseBloc is currently a **closed beta**, available by invitation only. Access is free during the beta period. You must be at least 18 years old and using LeaseBloc for business purposes to hold an account. The beta period ends when LeaseBloc designates the service as generally available. We will give you **at least 30 days' notice** before that happens. Continued use after general availability will require a new agreement at then-current terms and pricing. Your beta access does **not** convert automatically into a paid subscription. ## 2. Accounts You are responsible for your account credentials and for all activity under your account. Keep your sign-in method secure and your account information accurate. Notify us promptly at support@leasebloc.com if you believe your account has been compromised. ## 3. Acceptable use You agree not to: - access or attempt to access accounts, data, or systems you are not authorized to access; - upload content that is unlawful, infringing, or that you do not have the right to share, including another party's confidential information; - probe, scan, scrape, overload, or otherwise interfere with the service or circumvent its security or access controls; - resell, sublicense, or provide access to the service to anyone outside your invited use; - use the service to build, train, or improve a competing product. We may suspend or terminate access that violates this section. ## 4. Your content You (or the parties you work with) own the content you submit to LeaseBloc: deals, sites, documents, comments, and other materials ("Customer Content"). You grant LeaseBloc a limited license to host, process, transmit, and display Customer Content solely to operate and provide the service. You are responsible for having the rights to the content you submit. ## 5. Shared deal trackers LeaseBloc is a shared system of record. When you participate in a deal tracker, **other collaborators on that deal tracker, such as the brand, brokers, and franchisee, can see the shared content of that deal according to their role**. That visibility is the purpose of the product. Do not post content to a shared deal tracker that you are not prepared to share with its other collaborators. Feedback If you send us feedback, ideas, or suggestions about the service, you grant LeaseBloc a **perpetual, irrevocable, royalty-free** license to use them without restriction or obligation to you. Feedback is how the beta gets better. See also our beta program expectations in the app. ## 7. Beta confidentiality The beta is a closed program. You agree not to publicly disclose non-public information about the service, including unreleased features, performance characteristics, and screenshots of pre-release functionality, without our written permission. We, in turn, handle your information as described in the [Privacy Policy](https://leasebloc.com/privacy). This obligation is mutual and survives the end of the beta for two years. ## 8. Privacy Our collection and use of personal information is described in the [Privacy Policy](https://leasebloc.com/privacy). By using the service you acknowledge it. ## 9. Disclaimers The service is provided **"AS IS" and "as available."** It is beta software: it may contain defects, may change at any time, and carries no commitment to uptime or availability. To the fullest extent permitted by law, LeaseBloc disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. LeaseBloc is a workflow tool. **It does not provide legal, brokerage, real-estate, or financial advice**, does not match transaction parties, does not facilitate contract signatures, and takes no commission on any transaction. You are responsible for your own professional and legal decisions. ## 10. Limitation of liability To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if advised of the possibility; and (b) LeaseBloc's total aggregate liability arising out of or relating to the service or these Terms is limited to **the greater of the amounts you paid us in the 12 months before the claim, or US $1,000**. ## 11. Termination You may stop using the service and close your account at any time. We may suspend or terminate beta access at any time, with or without cause, including at the end of the beta program. Upon termination, your right to use the service ends; handling of your data after termination is described in the [Privacy Policy](https://leasebloc.com/privacy). Sections 4 (license to Feedback excluded), 6, 7, 9, 10, and 12 survive termination. ## 12. General These Terms are governed by the laws of the **State of Delaware**, without regard to conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located in Delaware. These Terms are the entire agreement between you and LeaseBloc regarding the beta service. If a provision is unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
